I regularly assist franchisors with growth strategies including advising on and negotiating master franchise and related agreements. My recent experience in master franchising includes assisting Australian-based systems to expand into New Zealand, Singapore, the United Kingdom, the Unites States, the Middle East and North Africa, Indonesia and Scandinavia.
I also provide strategic advice to franchisors on exit strategies including seller due diligence, and negotiating sale documentation.
My expertise spans most sectors, but I have a particular focus on the health and fitness and sports and entertainment industries.
I support SMEs in all phases of their economic cycle including establishment, operation, growth and exit.
My strategic advice includes assistance with structuring, corporate governance, the addition of new investors, debt and equity funding, risk management and business succession planning.
In my 25+ years of assisting SMEs I have negotiated and drafted hundreds of critical agreements including: board charters; delegated authority framework; shareholder agreements; subscription agreements; joint venture agreements; IP licensing agreements; deeds of access, insurance and indemnity; and buy – sell agreements.
I also provide strategic advice to SME’s in relation to exit strategies, seller due diligence and the negotiation and completion of sale documentation, whether by way of a sale of shares or assets.
I advise on, negotiate and assist SMEs to execute a wide range of transactions including: share issues; share sales and purchases; share buy backs; debt and equity injections; financial assistance; and restructures.
My transactional experience includes drafting and negotiating complex post settlement earn out structures and seller restraints of trade.
My approach to deals is to get involved as early as possible in the transaction (preferably before a Term Sheet is signed) so that the terms that are critical to my client, and the pace at which they want the deal to proceed, can be controlled.
